General Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) are an integral part of the sale agreement between seller and purchaser.
These General Terms and Conditions (GTC) are binding at all times even if parts thereof are not in effect for whatever reason(s).
General Terms and Conditions (GTC) of the purchaser or third parties, which deviate from these General Terms and Conditions (GTC) or from special agreements, are not binding for the seller even if the purchaser refers to them and the seller has not expressly declined their acceptance in specific cases.
In existing and ongoing business relationships, it goes without saying that these general terms and conditions apply to all future transactions.

2. Quotations and Order Acceptance

All quotations, including price(s) and lead time(s), are non-binding unless otherwise indicated. Orders become binding to seller only once they are confirmed in writing.
All orders and/or sale contracts are confirmed in writing, with the exception of immediate deliveries and invoicing respectively. 

3. Prices

In case of doubt, prices are ex works, excluding freight, Customs duty, import duty and packaging, plus statutory rate of VAT (Value-Added Tax).
Prices are generally applicable in the currency stipulated on the order confirmation(s), invoice(s) and sale documents.
Unless otherwise agreed, the seller reserves the right to increase agreed prices relative to changes in the general economic conditions for raw materials and consumables, taxes, transport costs as well as fluctuations in foreign currency exchange rates.
Seller is not bound to previously valid prices for new and follow-up orders.

4. Industrial Property Rights and Copyright / Privacy Policy

Seller retains ownership of any printed material provided, such as design renderings, (technical) drawings, sales aids and prototypes, at all times.
We oblige our business partners to not disclose information acquired in the course of the business relationship to unauthorised third parties and to secure all such information against access and misuse by unauthorised persons.

5. Shipping Terms and Conditions

The place of shipping fulfilment is Ternberg. We strive to take into consideration the wishes and requests of the purchaser regarding the shipping mode and method. However, any resulting additional cost – also in cases of agreed free freight – is the responsibility of the purchaser.

6. Transport Risk Transfer

Once shipments are collected by or handed over to a shipping agent or carrier and have left our premises, the transport risk transfers to the purchaser without exception unless otherwise agreed. 

7. Packaging

Packaging is carried out in accordance with the prevailing industry standards to prevent damage by everyday weather in normal transport conditions.
Special packaging requests or requirements have to be submitted in a timely manner that does not cause any delay or complication. If such special packaging request reaches us too late or involves significant extra handling or labour, we reserve the right to decline the request in writing. Special packaging will be invoiced separately and is non-returnable.
Quantities less than the applicable packaging unit or box quantity are subject to a 20% handling fee.

8. Transport

Please address any in-transit complaints about a shipment with the primary shipping agent or carrier and inform us at the same time.
In the event of any shortages, defective or incorrect merchandise, please make sure to notify us within 8 days of receipt of shipment otherwise shipment is deemed accepted. 

9. Payment

Unless special payment terms have been agreed, our standard payment terms are Net30Days. Late payments are subject to late payment penalties as appropriated by the law. In addition, we reserve the right to void any special payment discounts or considerations.

10. Miscellaneous

Discrepancies in colour and appearance between print and actual product are possible and considered normal. We cannot be held liable for printing and typographical errors.  

11. Proprietary Rights

Goods remain our unrestricted property until full payment.

12. Place of Jurisdiction

The place of jurisdiction is Steyr in Upper Austria.
